The main difference is the TDI I am selling right now has 90 HP, while the 330d has over 200. But you can't get anything but an E9x with the diesel here in the states. Too expensive in my book.
OP, hope you don't want too much in the way of fuel economy, the TDI I have for sale is only getting about 51+ on the freeway with the AC blasting. Very bad I tell you...
ETA: Just wanted to add that I can put my little diesel car on cruise control at 65 mph and head up I70 and it just pulls with no problems.

With out a question......mk4-99-03 VW TDI... Non pumpe Duce, one of the best engines ever made and simple and CHEAP to work on, 46-52 MPG.

How much would that cost? I remember looking at some of the crate motors you can get from Alpina, holy wow! They had a 2004 M3 S54TT modifed motor, but I think it was somewhere around 22,000 Euros not including shipping... But then again that was when I was more fantasizing.
I really wish there was a bigger market for Diesel powered cars, pretty much in America you have to get a big, huge (for me I don't have a need for a truck) behemoth in order to have a diesel engine. I would love to be able to find a diesel saloon, like the Audi A4TDI Quattro.

Honestly not a whole lot more then swapping out a gas engine. The long block for a stock diesel motor wouldn't be that bad, shipping would add 600-1000 more most likely (I really am pulling that right out of my ass since I have never shipped an engine overseas so I have no clue). You would need a diesel computer, diesel fuel pump, engine mounts, diesel wiring harness, instrument cluster and some other things that are not coming to me off the top of my head. Main labor would be putting it together so it looked stock.
Audi would be much easier except for the Quattro part. The jetta has the same body and frame as the Audi. All you need to do is drop the engine and transmission with the sub-frame attached out the bottom, roll it under the other vehicle and bolt it up. Clear out the fuel lines and replace the fuel pump. Done. Now you have a TDI Audi and a Gas Jetta. With all wheel drive the gearing in the transfer case and rear differential have to be changed out.
